Terms of Service

These terms apply when a business uses ReplyBiz, the app and related services provided by Heptapods Private Limited ("we", "us"). By creating an account or using ReplyBiz, the business ("you") agrees to these terms. If you use ReplyBiz on behalf of a business, you confirm you have authority to accept them for it.

1. What ReplyBiz does

ReplyBiz lets restaurants and other businesses read and reply to customer messages from WhatsApp, Instagram and Facebook Messenger, and to Google reviews, in one app. It connects to those platforms only through their official business APIs, using access you grant.

2. Your account

• ReplyBiz is for business use. Admins must be at least 18.
• Keep your sign-in email secure. You are responsible for activity on your account.
• Give us accurate business details and keep them up to date.

3. Connected platforms

• You must own or manage the WhatsApp Business number, Facebook Page, Instagram account and Google listing you connect.
• Your use of those platforms through ReplyBiz must follow their own terms, including the WhatsApp Business Terms and Business Messaging Policy, Meta's Commerce Policy and Terms, and Google's terms for Business Profiles.
• Meta may charge for some WhatsApp messages, such as message templates. Those charges are between you and Meta, billed to the payment method in your WhatsApp Business account.
• The platforms can change or withdraw their APIs at any time. If they do, some ReplyBiz features may stop working, and we are not responsible for that.

4. Acceptable use

You agree not to use ReplyBiz to:

• send spam, or message people who have not contacted you or agreed to hear from you;
• send content that is unlawful, misleading, harassing or infringes someone else's rights;
• sell or promote anything the connected platforms prohibit;
• collect customers' personal information for purposes they would not expect;
• try to access other businesses' data, break our security, or copy, reverse engineer or overload the service.

5. Your content and your customers' data

• You keep ownership of your messages, replies, notes and other content. You give us permission to store and process it only to provide ReplyBiz to you.
• For your customers' messages and details, we act on your instructions and handle them as described in our privacy policy.
• You are responsible for telling your customers how you handle their information and for having any consent the law requires.

6. Pilot and fees

ReplyBiz is currently offered as an early pilot. Features may change, and the service may have errors or interruptions. Pilot access is free unless we agree otherwise in writing. Before any paid plan applies to you, we will tell you the price and you will choose whether to continue. Prices exclude applicable taxes such as GST.

7. Availability and changes

We work to keep ReplyBiz available and reliable but do not guarantee it will be uninterrupted. We may update, add or remove features. If a change significantly reduces what you rely on, we will tell you in advance where we reasonably can.

8. Suspension and ending

• You can stop using ReplyBiz at any time by disconnecting your channels and asking us to close your account.
• We may suspend or close an account that breaks these terms or the connected platforms' rules, puts others at risk, or where the law requires it. Where appropriate, we will tell you why and give you a chance to fix it.
• When an account closes, we delete its data as described in our data deletion instructions.

9. Our rights

ReplyBiz, its software, design and brand belong to Heptapods Private Limited. These terms give you a right to use the service, not ownership of it. If you send us feedback, we may use it to improve ReplyBiz without any obligation to you.

10. Disclaimers

ReplyBiz is provided "as is" and "as available". To the extent the law allows, we make no promises beyond those in these terms, including that the service will meet every need or that messages will always be delivered by the connected platforms.

11. Limit of liability

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, bookings or goodwill. Our total liability for any claim relating to ReplyBiz is limited to the greater of the fees you paid us in the 12 months before the claim and ₹5,000. Nothing in these terms limits liability that cannot be limited by law.

12. Your responsibility

You will cover reasonable losses we incur because of content you send through ReplyBiz or your breach of these terms or the connected platforms' rules.

13. Law and disputes

These terms are governed by the laws of India. The courts in Chennai, Tamil Nadu have jurisdiction over any dispute. Before going to court, we both agree to try to resolve the issue by talking first.

14. Changes to these terms

We may update these terms. We will post the new version here with a new date, and tell you in the app or by email before significant changes take effect. Continuing to use ReplyBiz after that means you accept the updated terms.
